Welcome to TackPilot. These Terms of Service ("Terms") govern your access to and use of TackPilot's services, software, and websites (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using TackPilot's Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

TackPilot provides a construction operating system platform that enables general contractors to manage jobs, coordinate crews, process payments, and manage contractor relationships. Our Services include:

• Job and task management tools
• SMS-based crew coordination
• Payment processing capabilities
• Contractor profile and relationship management
• Real-time dashboards and reporting
• AI-powered assistance and automation

3. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the entity you represent. By using our Services, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. User Responsibilities

You agree to use the Services in compliance with all applicable laws and regulations. You will not:

• Use the Services for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe on the intellectual property rights of others

6. SMS and Communications

By using our Services, you consent to receive SMS messages and other communications from TackPilot. You may opt out of these communications at any time by following the instructions provided in the messages or by contacting us at hello@tackpilot.com.

Standard message and data rates may apply for SMS communications. You are responsible for any charges incurred from your mobile carrier.

7. Payment Terms

If you purchase a paid subscription or use payment processing features:

• You agree to pay all fees associated with your subscription or use of Services
• Payments are processed through third-party payment processors
• All fees are non-refundable unless otherwise stated
• We reserve the right to change our pricing with advance notice
• You authorize us to charge your designated payment method

8. Intellectual Property

The Services and all content, features, and functionality are owned by TackPilot, Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit through the Services, but you grant TackPilot a license to use, store, and process that content to provide the Services.

9. Third-Party Services

Our Services may integrate with third-party services such as payment processors, SMS providers, and other tools. Your use of these third-party services is subject to their respective terms and conditions.

10. Privacy

Your use of the Services is also governed by our Privacy Policy, available at tackpilot.com/privacy. By using the Services, you consent to our collection and use of your information as described in the Privacy Policy.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TACKPILOT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TackPilot does not guarantee that the Services will be uninterrupted, secure, or error-free. You use the Services at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACKPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL TACKPILOT'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO TACKPILOT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless TackPilot, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services or violation of these Terms.

14. Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Delaware.

17. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

18. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and TackPilot regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
